The opportunity Our corporate practice is growing, and we are looking for an experienced corporate law clerk to take the lead on it. You will work directly with the partners on the corporate side of the practice — minute books, filings, incorporations, reorganizations and closings — with the lawyers' support and the trust to run your files your way. We are prepared to pay above market rate for the right person. Who we are Andary Carnevale Karry & Laba LLP is a full-service firm with offices in Kingsville and Windsor, formed from two long-standing Essex County practices: Karry & Laba, serving Kingsville and the county for more than 40 years, and Carnevale Law Office, founded in 1985. Our lawyers practise corporate/commercial, real estate, wills and estates, family, civil litigation, employment and criminal law for businesses, professionals, families and individuals across Windsor–Essex. We are a small firm by design — close to our clients, close to each other, and practical about how we get things done. What you'll be doing Maintaining minute books and corporate records and keeping them current Preparing annual resolutions, and filing annual returns and notices of change on the Ontario Business Registry and with Corporations Canada Incorporating and organizing corporations (OBCA and CBCA), including professional corporations, and preparing articles of amendment, amalgamations and dissolutions Preparing share issuances, transfers and dividends, and changes of directors and officers Preparing documents for corporate reorganizations and rollovers, working with the lawyers and clients' accountants Assisting on share and asset purchase and sale transactions — searches, closing agendas, closing documents and closing books Handling extra-provincial and business-name registrations, NUANS reports and corporate searches Communicating with clients, accountants, lenders and government registries, and keeping files moving Helping to build precedents and systems as the department grows What we're looking for Several years' experience as a corporate law clerk in an Ontario law firm — ideally seven or more — and comfortable working independently Exceptional organization skills are a must. Working knowledge of the Ontario Business Registry and Corporations Canada online filings Experience with Microsoft Office Careful, organized and accurate, with strong drafting and communication skills Discretion and a professional, friendly manner with clients Law Clerk diploma or ILCO designation an asset; real estate or estates experience a bonus Location, schedule and pay Based in our Kingsville branch, with the option of working from our Windsor branch and a hybrid arrangement available.
