Job Title: Law Clerk Location: Toronto, ON Hybrid - Contract role Pay Rate: $30-$35/hr We are seeking a Law Clerk, Subsidiary Governance to support Canadian subsidiary Boards and the Corporate Secretary’s Department. The successful candidate will be a proactive, detail-oriented, and collaborative professional with strong judgment, discretion, and organizational skills. This role requires the ability to manage multiple priorities calmly and effectively in a fast-paced and changing environment. Key Responsibilities Assist with drafting corporate governance documents, including meeting minutes, resolutions, memoranda, and related materials. Maintain and update Canadian subsidiary minute books, ensuring corporate records are accurate and current. Maintain signing authorities for Canadian subsidiaries and update authorized signatories in accordance with established approval processes. Collaborate with internal stakeholders and respond to requests related to certifications, signing authorities, corporate information, and other governance matters. Assist with the coordination and scheduling of Board meetings and Board planning meetings. Take ownership of team initiatives and support the management of complex governance matters. Lead or participate in special projects and perform other duties as assigned. Qualifications & Experience Post-secondary degree with 4+ years of relevant experience, or an equivalent combination of education and experience. Experience within a Corporate Secretary’s Department, public company, or law firm is preferred. Strong proficiency with Microsoft Word, PowerPoint, Excel, and Outlook. Experience administering a Board Portal platform, such as Diligent Boards or Boardvantage, is considered an asset. General knowledge of Canadian corporate and regulatory legislation, including: Canada Business Corporations Act Insurance Companies Act (Canada) Trust and Loan Companies Act Ontario Business Corporations Act OSFI guidelines Commitment to ongoing education and staying current with applicable legislation, regulations, policies, and governance requirements. Preferred Skills & Competencies Experience in corporate governance. Law Clerk designation is considered an asset. Experience drafting corporate meeting minutes. Understanding of the implications of legislation and regulatory requirements. Strong written and verbal communication skills. Excellent organizational and time-management skills. Strong attention to detail. Tact, discretion, and the ability to handle confidential and sensitive information professionally. Proactive approach to following up on outstanding matters. Ability to work effectively in a high-volume, paperless environment. Ability to prioritize competing demands with minimal direction while understanding business and strategic priorities.
