As a Senior Paralegal, you will be: Providing independent professional support services, including assistance with complex transactions. Preparing and drafting some or all of the following documents, in addition to those in Level I and Level II (see end of document):(a) Documents and articles relating to corporate reorganizations(b) Documents and articles relating to tax reorganizations(c) Documents and articles relating to asset/share purchase and sale transactions(d) Due diligence review reports Other duties and responsibilities may include some or all of the following:(a) Attend organizational meetings with clients/lawyers and recommend a course of action.(b) Assisting in drafting various agreements.(c) Reviewing and analyzing corporate charter documents and recommending changes as needed.(d) Drafting complex share provisions.(e) Assisting in preparation of complex closing agendas.(f) Conducting complex due diligence reviews.(g) Coordinating closing documents, searches, and reporting on other matters for the transaction.(h) Attending closings.(i) Preparing checklists and precedents.(j) Obtaining name search reports and reporting on the results of same and updating if required.(k) Maintaining integrity of corporate database and all record keeping systems.(l) Mentoring junior and intermediate paralegal/law clerks. Keeping current on changes in legislation and government policy and informing others as appropriate. Ensuring quality and accuracy of work, and ensuring work is completed within reasonable time frame. Record time entries in a timely manner in accordance with the requirements prescribed by the Firm and the practice group/administrative services group. Record the minimum number of billable and non-billable hours as required. Any other related tasks as required. As our ideal candidate, you will distinguish yourself by the following profile: College Degree/Certificate in Paralegal studies or equivalent work experience. Minimum 10 years of experience in corporate law. NUANS Completion Certificate, as required.
