We’re hiring right now; if you’re interested, apply below for your chance to join a great place to work Responsibilities Working collaboratively with the Director, Subsidiary Governance and peers to support Canadian Subsidiary Boards and the Corporate Secretary’s Department, including: Assist in drafting governance documents (e.g. minutes, resolutions, memos). Assist in maintaining Canadian subsidiary minute books. Assist in maintaining signing authorities for Canadian subsidiaries, and updating authorized signatories by following approvals process set out in the respective signing authorization resolutions. Collaborating with internal partners and responding to their requests (e.g., certifications, signing authorizations, corporate information, etc.). Assist with the scheduling of Board meetings and Board planning meetings. Having accountability for team initiatives; managing complex matters and performing various other duties as delegated or assigned including leading/participating in special projects, as required. Qualifications Preferred Background/Experience Post-secondary degree with 4+ years of experience or an equivalent combination of education and relevant experience. Experience in a Corporate Secretary’s Department of a public company or a law firm is preferred. Excellent computer skills (Microsoft Word, PowerPoint, Excel, Outlook). Experience administering Board Portal platform (Diligent Boards or Boardvantage) is considered an asset. General knowledge of Canada Business Corporations Act; Insurance Companies Act (Canada); Trust and Loan Companies Act; Ontario Business Corporations Act; OSFI guidelines. Ongoing education to stay current on applicable legislation, regulations, policies and rules. Preferred Skills Tact, discretion and confidentiality are essential as this role has regular contact with the directors and officers of Subsidiary Boards, and sensitive materials. Experience in corporate governance. Law clerk designation is considered an asset. Experience in drafting minutes. Understanding implications of legislation and regulatory requirements. Strong written and verbal communication skills, and organizational skills. Detail oriented. Proactive follow-up on outstanding matters. Work effectively in a high volume, paperless environment Prioritize work with minimal direction, based on understanding of business or strategic priorities. Work flexible hours.
